The draft amendments ("Draft") to the Business Mergers and Acquisitions Act ("M&A Act") was approved by the Executive Yuan on November 22, 2013 and will be submitted to the Legislative Yuan for readings soon. The Draft aims to simplify the M&A procedure, protect the rights of shareholders and creditors, and re-visit the tax incentives. We summarize the Draft below.
